These terms aim to define the terms and conditions, procedures, and the rights, obligations, and responsibilities between the Company and members for the use of the startup token trading platform service (the "Service") provided by StartupDEX (the "Company").
Article 2 (Definitions)
- "Service": All services provided by the Company, including startup project registration, token issuance, token trading, community, etc.
- "Member": A person who has agreed to these terms and entered into a service agreement with the Company
- "Investor": A member who purchases project tokens through the Service
- "Founder": A member who registers a project and issues tokens through the Service
- "Project": A startup idea or business registered on the Service by a Founder
- "Token": A digital asset representing a project's value, traded within the Service
Article 3 (Effect and Amendment of Terms)
- These terms take effect by being posted on the service screen or notified to members by other means.
- The Company may amend the terms within reasonable grounds, to the extent not violating applicable laws.
- Amended terms are announced 7 days before the effective date. For changes unfavorable to members, 30 days notice is given.
Article 4 (Provision and Modification of Services)
The Company provides the following services:
- Project registration and management service
- Token issuance service
- Token trading (buy/sell) service
- Asset management service
- Community service
The Company may change services as needed for operational or technical reasons.
Article 5 (Membership Registration)
- Membership is established when the user agrees to the terms, fills in member information, and the Company approves it.
- The Company may refuse or cancel approval for applications falling under the following:
- Using a false name or impersonating another person
- Providing false information or omitting required information
- Previously having lost membership eligibility
Article 6 (Member Obligations)
Members shall not engage in the following activities:
- Registration of false information or impersonation
- Market manipulation or fraudulent trading
- Illegal money laundering
- Activities that interfere with stable service operation
- Collecting, storing, or disclosing other members' personal information
- Registering fake projects or committing fraud
Article 7 (Project Registration and Listing)
- Founders may register projects according to the procedures set by the Service.
- The Company may refuse listing of projects suspected of being illegal or fraudulent.
- Judgment of project quality and success potential is the investor's responsibility, and the Company does not guarantee it.
Article 8 (Token Trading)
- Token trading is conducted through order matching between members.
- Executed trades cannot be cancelled.
- Token prices are determined by market supply and demand, and the Company does not guarantee prices.
- Losses from investment are entirely the member's responsibility.
Article 9 (Fees)
- The Company charges a percentage of the transaction amount as a fee for token trades.
- Fee rates are announced through in-service notices.
- Fees for initial trading volume (10% of total supply) after a token's first listing are collected by the platform.
Article 10 (Disclaimer)
- The Company does not guarantee project success or token value increase.
- The Company is not liable for damages arising from transactions or investments between members.
- The Company is not liable when service is suspended due to force majeure such as natural disasters or system failures.
Article 11 (Dispute Resolution)
- Lawsuits regarding disputes between the Company and members shall be under the jurisdiction of courts in the Republic of Korea.
- The laws of the Republic of Korea shall apply to disputes between the Company and members.
